Design Submission & Ownership Terms
Effective as of 17th October 2025
These Terms govern the submission of any product ideas, designs, concepts, drawings, or other creative materials (“Submission”) to ZAPPS (“the Company”, “we”, “our”, or “us”).
By submitting a Submission through our website, email, or any other means, you (“the Submitter”, “you”, or “your”) acknowledge and agree to the following:
1. Originality and Authority
You warrant that your Submission is your own original work and that you hold full ownership and authority over all intellectual property rights in it. You further warrant that your Submission does not infringe upon the rights, patents, trademarks, trade secrets, or copyrights of any third party.
2. Assignment of Rights
In consideration of the Company’s review of your Submission and any potential development of a product based upon it, you irrevocably assign to the Company all rights, title, and interest in and to the Submission, including all present and future intellectual property rights.
This assignment is worldwide, perpetual, irrevocable, royalty-free, and applies to all media and forms of use now known or developed in the future.
3. Use and Commercialisation
The Company may, at its sole discretion, use, modify, adapt, develop, manufacture, distribute, and sell products or services derived from your Submission.
You acknowledge that the Company has no obligation to use or credit your Submission and may make any such use without limitation or further notice.
4. No Compensation or Royalties
You acknowledge and agree that you are not entitled to, and will not claim, any compensation, royalties, profits, or other payment in relation to the use, modification, or commercialisation of your Submission by the Company.
5. Independent Development
You recognise that the Company may already be developing, or may in the future independently develop, products or ideas similar to or competitive with your Submission. You agree that you will not assert any claim or right in respect of any such independently developed products.
6. Confidentiality
You acknowledge that your Submission is not confidential and that the Company is not obliged to treat any part of it as confidential or proprietary. You should not submit any information that you wish to keep private.
7. No Obligation to Proceed
The Company is not obligated to review, develop, test, or produce any product based on your Submission and may reject or disregard any Submission without notice or explanation.
8. Limitation of Liability
To the fullest extent permitted by law, you agree that the Company shall not be liable for any claims, damages, or losses arising from or related to the submission, development, manufacture, or sale of products derived from your Submission.
This includes, without limitation, any indirect, incidental, consequential, or special damages.
9. International Use and Foreign Laws
If you are located outside Australia, including but not limited to the United States of America, you acknowledge and agree that:
Your Submission and any resulting products or transactions with the Company are governed solely by the laws of Australia (and, where applicable, the laws of the State of New South Wales).
You waive any rights to bring or participate in legal proceedings against ZAPPS in any non-Australian jurisdiction, including but not limited to U.S. federal or state courts.
You expressly waive any rights or remedies available under U.S. product liability laws, including (without limitation) claims under tort, negligence, warranty, or strict liability theories.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the laws of the Commonwealth of Australia where applicable.
You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for the resolution of any dispute arising out of or relating to these Terms, your Submission, or any products derived therefrom.
You waive any right to object to this jurisdiction on the basis of forum non conveniens or any similar doctrine.
11. Entire Agreement
These Terms constitute the entire agreement between you and the Company in relation to your Submission and supersede all prior discussions, understandings, or agreements, whether oral or written.
No modification or waiver of any provision of these Terms will be valid unless agreed to in writing by the Company.
12. Acceptance
By ticking the consent box and submitting your design or idea, you confirm that you have read, understood, and agree to be bound by these Terms in full, including the limitations of liability and governing law clauses.
